Risk rules

These Risk Rules (as the same may be amended, varied, supplemented or otherwise modified from time to time, these "Risk Rules") set out, describe, establish and govern the trading rules, risk parameters, thresholds, objectives, restrictions, requirements and enforcement mechanisms that apply, or that may apply, to the evaluations, challenges and simulated Funded Accounts offered, made available or administered by FundFX Trader ("FundFX Trader", the "Company", "we", "us" or "our"), and are hereby incorporated into, and form an integral, indivisible and inseparable part of, our Terms and Conditions. Each capitalized term used but not otherwise defined herein shall have the meaning given to it in the Terms and Conditions. The specific numeric values, percentages, thresholds, timeframes, parameters and additional conditions applicable to any given account, including, without limitation, loss limits, profit objectives, minimum and maximum trading days, permitted and prohibited instruments, and any and all other parameters, are and shall be those published, displayed or otherwise made available in respect of the applicable Plan and the applicable Plan version at or around the point of sale and in the corresponding Plan details, all of which prevail over, take precedence over and govern in the event of any inconsistency with the general descriptions set out below.

1. Risk disclosure

Trading and dealing in financial instruments involves, entails and carries a high degree of risk and is not suitable, appropriate or advisable for every person or in every circumstance. The evaluations are conducted, operated and administered within a simulated environment that is designed, intended and provided for the purpose of assessing trading skill, and that does not, and does not purport, represent or undertake to, replicate, reproduce or reflect all, or indeed any particular, of the conditions, costs, frictions, latencies, slippage, spreads, liquidity constraints or risks that would or might be encountered in live, real or external markets. Any and all results, metrics, balances, equity, statistics or performance figures generated within, by or in connection with the simulated environment are notional, hypothetical and illustrative only and are provided for evaluative purposes only. Simulated, hypothetical or past performance is not, and should not be taken, treated or relied upon as being, indicative of, a guarantee of, or a reliable guide to, future results, performance or outcomes.

2. Daily loss limit

Each Plan establishes, prescribes and provides for a maximum permissible loss that may be incurred, sustained or realised within any single trading day, which limit is calculated, measured and applied by reference to balance or equity as specified for, and in respect of, the relevant Plan, and which is measured over the trading day as defined, delimited and determined for the relevant Plan (including, without limitation, the applicable reference time, cut-off and reset mechanics). Where and to the extent that an account reaches, meets or exceeds the daily loss limit, whether on a realised basis or, where and to the extent so specified, on an unrealised basis, the rule is thereby breached and the enforcement action defined, prescribed and provided for in respect of the relevant Plan is applied. The precise percentage, amount, basis of calculation and method by which a trading day is delimited and determined are and shall be those published for, and in respect of, your Plan.

3. Maximum (total) loss limit and drawdown

Each account is and shall be subject to a maximum accumulated loss limit, the reaching, meeting or exceeding of which constitutes a breach and triggers, activates and gives rise to the enforcement action defined, prescribed and provided for in respect of the relevant Plan. Depending upon and according to the relevant Plan, the maximum loss may be configured, structured and applied as a static drawdown, fixed and calculated by reference to the initial balance, or as a trailing drawdown, which follows, tracks and is calculated by reference to the highest balance or equity attained by the account and which may, where and to the extent so specified, cease to trail, or become fixed, upon the attainment of a defined threshold, level or high-water mark. The applicable drawdown type, its basis of calculation (whether balance or equity), and its value, level or amount are and shall be those published for, and in respect of, your Plan, and you are and shall remain responsible for reviewing, understanding and observing the same before and while trading.

4. Profit objective

In order to pass, complete or satisfy any evaluation phase, you must attain, reach and achieve the profit objective published for, and in respect of, your Plan while, continuously, uninterruptedly and at all times, complying with, observing and satisfying the daily loss limit, the maximum loss limit and each and every other applicable rule, restriction and requirement. The attainment of the profit objective concurrently with, by means of, or in circumstances involving, any breach, contravention or circumvention of any other rule shall not constitute, and shall not be treated or deemed to constitute, a pass. Save as otherwise specified for the relevant Plan, the profit objective is measured, calculated and determined in accordance with the metrics, basis and methodology published for, and in respect of, the relevant Plan.

5. Minimum and maximum trading days; consistency

Certain Plans establish, prescribe and provide for a minimum and/or a maximum number of trading days, and/or consistency, stability or distribution requirements, which are designed, intended and provided so as to recognise and reward steady, stable, repeatable and disciplined performance rather than results attributable to a single, isolated, disproportionate or outsized position, trade or day. Where and to the extent applicable, any and all such requirements, including, without limitation, the manner and basis on and by which a trading day is counted, measured and determined and the metrics and methodology by and according to which consistency is assessed and evaluated, are and shall be those published for, and in respect of, your Plan; and the failure to satisfy any applicable minimum requirement, or the breach, contravention or circumvention of any applicable maximum or consistency requirement, may prevent, preclude or delay a pass or itself constitute a breach, in each case as specified for, and in respect of, the relevant Plan.

6. Position, exposure and risk-management requirements

The Plans may impose, prescribe and provide for limits, conditions or requirements concerning, among other things and without limitation, lot or position size, aggregate, net or gross exposure, the number of open, simultaneous or concurrent positions, concentration and correlation, and the use, adoption or observance of risk-management measures, techniques or controls such as stop-loss orders. Restrictions may additionally apply, where and to the extent so specified, to the holding, carrying or maintaining of positions over the weekend or across market closures, sessions or rollovers, to the placing or holding of trades during periods of high-impact news, economic releases or events, and to specific instruments, asset classes, markets, symbols, sessions or trading hours. The limits, conditions, requirements and restrictions applicable to your account are and shall be those published for, and in respect of, your Plan, and it is and shall remain your sole responsibility to be aware of, understand and comply with the same at all times.

7. Account integrity: single account, connection, IP, device and location

In order to preserve, protect and give effect to the integrity of the evaluation and of the simulated environment, and in order to give effect to and enforce the requirement that each natural person hold, control and operate a single account, the Company may, at any time and from time to time, monitor, review and impose requirements, conditions and restrictions relating to the manner in which, and the connection, means and location from which, an account is accessed, connected to and operated, including, without limitation, the internet-protocol (IP) address, the device, terminal or equipment, and the geographic location or jurisdiction associated with, or from which is accessed, the account.

Without prejudice to, and without limiting the generality of, the foregoing or of any other provision of these Risk Rules or of the Terms and Conditions, the following are and shall be prohibited or restricted where and to the extent that the applicable Plan so specifies: (i) accessing, connecting to, operating or trading, or attempting to access, connect to, operate or trade, more than one account from the same IP address, device, terminal, equipment or connection, or otherwise sharing, in common or across accounts, any IP address, device, terminal or connection, in each case in order to circumvent, evade or defeat the single-account requirement, the risk limits or any other rule or restriction; (ii) permitting, allowing or enabling any third party to access, connect to, operate or trade your account, operating or trading an account in the name of, on behalf of or for the benefit of another person, or permitting or allowing your account to be managed, operated or traded collectively, jointly or in concert with the accounts of others; (iii) accessing, connecting to or trading the account from a country, territory, jurisdiction or location that is restricted, prohibited or not permitted for, or in respect of, your Plan; and (iv) using, employing or deploying any virtual private network, proxy, remote-desktop, virtualization, emulation, spoofing or other means, technique or technology in order to conceal, mask, alter, falsify or misrepresent your true or actual identity, device, terminal, connection or geographic location.

Where and to the extent that the Company detects, identifies or reasonably suspects that the same IP address, device, terminal or connection is or has been shared, in common or across, accounts associated with or belonging to different persons, or observes, identifies or reasonably suspects any other indicator, sign or evidence of coordinated, collusive, concerted or prohibited activity, or of any attempt or intention to conceal, mask or misrepresent identity, device, terminal, connection or location, the Company may mark, flag or designate the affected accounts for review and may take, apply or impose any of the enforcement actions described, referred to or contemplated below. The specific connection, IP, device and location requirements, conditions and restrictions applicable to your account, and the extent, manner and means by and to which the same are monitored, are and shall be those published for, and in respect of, your Plan; and, for the avoidance of doubt, the absence, omission or non-specification of any particular restriction from or in any particular Plan does not, and shall not be construed to, authorise, permit or legitimise any conduct that is otherwise prohibited or restricted under these Risk Rules or the Terms and Conditions.

8. Prohibited practices

The following practices, techniques and forms of conduct, among others and without limitation, are and shall be strictly prohibited, and may, without prejudice to any other right or remedy, result in the failure of an evaluation, the withholding, reduction or forfeiture of any and all benefits, and the suspension, reset, closure or termination of any and all accounts: (i) the use, holding, control or operation of multiple accounts, or the acting in concert, combination or collusion with any other person or persons, so as to circumvent, evade or defeat any risk limit, the single-account requirement or any other rule, to hedge across accounts, or to coordinate opposing, offsetting or mirrored positions; (ii) the exploitation, or attempted exploitation, of any error, inaccuracy, latency, delay, gap or deficiency in pricing, quotation, execution, connectivity or the platform; (iii) latency arbitrage and any and all other forms of arbitrage abuse; (iv) so-called tick-scalping, and any strategy, technique or conduct predicated upon, dependent upon or exploiting non-market pricing or technical deficiencies rather than genuine, independent and good-faith market performance; and (v) the use, deployment or operation of any unauthorised automated trading tool, expert advisor, script, bot or algorithm.

Depending upon and according to the relevant Plan, further, additional or supplemental restrictions may apply, where and to the extent so specified, to hedging across accounts, copy trading, the use of martingale, grid, averaging or similar strategies, high-frequency or ultra-high-frequency techniques, and comparable, analogous or related methods. Any and all such additional restrictions are and shall be those published for, and in respect of, your Plan. The Company reserves, retains and shall have the right to determine, acting reasonably, whether any conduct constitutes, or is likely to constitute, a Prohibited Practice, and to treat, address and deal with any attempt, and any conduct, act or omission designed, intended or tending to achieve, facilitate or bring about a prohibited outcome, in the same manner as, and with the same consequences as, the practice itself.

9. Enforcement and automatic actions

Where and to the extent that any rule, restriction or requirement set out, referred to or contemplated in these Risk Rules or in the applicable Plan is breached, contravened or circumvented, or where and to the extent that any Prohibited Practice is identified, detected or reasonably suspected, the Company may, in its sole discretion, according to and depending upon the circumstances, at any time, and where technically possible, take, apply or impose any one or more of the following actions, whether cumulatively, successively, alternatively or in combination: the issuance of a warning; the marking, flagging or designation of the account for manual review; the restriction, limitation or disabling of trading; the closing of open positions; the disabling of the account; the failing of the evaluation; the withholding, reduction or forfeiture of any and all benefits or payouts; and the suspension, reset, closure or termination of the account. Critical actions are designed and intended to be idempotent, to be recorded and logged together with such evidence as is sufficient to permit the reconstruction and review of the relevant event, and, where and to the extent that the applicable process so permits, to be subject to review.

10. Precedence of plan parameters

These Risk Rules describe, in general, summary and non-exhaustive terms, the manner in which the rules, restrictions and requirements operate. The specific values, percentages, thresholds, timeframes and any and all additional conditions applicable to your account are and shall be those published, displayed or otherwise made available in respect of your Plan and your Plan version at or around the point of sale, all of which prevail over, take precedence over and govern in the event of any inconsistency, ambiguity or conflict with the general descriptions set out in these Risk Rules. It is and shall remain your sole responsibility to review, examine, understand and observe the parameters of your Plan before and while trading, and your continued trading constitutes, operates as and shall be treated as your acceptance of, and agreement to be bound by, the same.

11. Amendments

The Company may, at any time and from time to time and in its sole discretion, amend, vary, modify, supplement, restate, replace or otherwise change these Risk Rules in accordance with the provisions governing amendments in the Terms and Conditions. Any and every such amendment, variation, modification or change takes effect prospectively and shall not, of itself and without more, retroactively alter or affect the conditions of any account already purchased, save as required by any applicable law or pursuant to a formal, authorised and documented process. Material amendments will be communicated through the website or by electronic mail.
